Service Terms & ConditionsIntroductionThis agreement (the Agreement) outlines the terms under which WA Construction wa (ABN 31 694 547 478) provides goods and services to you or your company (Customer). These terms, combined with any provided Quote, form the full legal contract. 1. UNDERSTANDING THIS AGREEMENT-Terms used in this document are defined either directly before their first bolded appearance or within the definitions section in clause 23.1. 2. APPLYING THESE TERMS-These terms apply to every interaction, quote, and order between the Customer and WA Construction wa. You accept these terms by signing them, providing a verbal or written go-ahead, or by paying for and accepting any goods or services after receiving this document. This Agreement stays active until the work defined in the Quote is finished. 3. DELIVERING GOODS AND SERVICES-We will provide the items or work listed in your Quote once fees are paid. Quotes are valid for 30 days unless otherwise stated and may change if material or labor costs fluctuate unexpectedly. A Quote becomes a binding contract once we accept it or start the work. If we must cancel due to supply issues, a full refund will be your remedy. 4. FEES AND PAYMENTS-We will issue tax invoices for all work. Unless we have agreed otherwise, a deposit is required before we start, with the final balance due upon completion. We may adjust prices if the project scope changes or supplier costs rise. All prices exclude GST unless mentioned. Late payments will incur 10% annual interest, and we may pause work or seek recovery costs if necessary. 5. DELIVERY AND SITE CONDITIONS-Delivery dates are estimates and not guaranteed. Once goods are delivered to your site, they become your responsibility, including the risk of theft. While we take every care, we are not liable for minor cosmetic damage or pre-existing site issues. You are responsible for any delivery costs specified in your Quote. 6. CHANGING THE SCOPE-If you need to change the project requirements, please submit a request. We reserve the right to accept or decline changes, and any approved adjustments will likely result in a revised Quote and additional fees. 7. YOUR RESPONSIBILITIES-You must provide accurate site info, identify all underground or overhead utilities (such as via Dial Before You Dig), and ensure our team has safe, clear access to the property. It is your responsibility to obtain any necessary local government approvals or permits. 8. CUSTOMER-SUPPLIED ITEMS-If you provide your own materials, you carry all risk. We are not responsible for the quality, suitability, or defects of items you supply, and you will be charged for any extra labor required to fix issues arising from them. 9. INSTALLATION LIMITS-WA Construction wa is not responsible for the structural integrity or weight-bearing capacity of your existing premises. We are not liable for indirect damage unless caused by our direct negligence. 10. THIRD-PARTY SERVICES-When we source third-party products or services for you, their specific terms also apply. By instructing us to procure them, you accept those additional conditions. 11.SUBCONTRACTING-We may hire qualified subcontractors to perform parts of the work as needed to ensure the project is completed professionally. 12. WARRANTIES AND DEFECTS-Manufacturer warranties apply to all goods. If goods are found to be defective, we will repair, replace, or refund them as required by law. For services, we will either re-perform the work or cover the cost of having it corrected. 13. CONSUMER RIGHTSThis Agreement does not replace your rights under the Australian Consumer Law (ACL). Any unavoidable liability is limited to re-supplying the services or repairing the goods. 14. ENDING THE AGREEMENT-We may end this contract if payments are missed, terms are breached, or if the Customer becomes insolvent. You may terminate if we fail to fix a significant breach. Upon ending the contract, all work completed and expenses incurred must be paid for immediately. 15. OWNERSHIP-WA Construction wa owns all goods and materials supplied until you have paid the final balance in full. Risk for the items passes to you upon delivery. 16. PRIVACY-Both parties agree to handle information confidentially and adhere to the Privacy Act 1988 (Cth).1 7. LEGAL LIMITS-Our total liability is capped at the amount you paid under the Quote. We are not liable for any indirect or consequential financial losses. 18. INDEMNITY-You agree to protect WA Construction wa from claims or losses resulting from your breach of these terms, negligence, or issues with materials you provided.1 9. RESOLVING DISPUTES-If a disagreement arises, we both agree to try informal negotiation first, followed by mediation and then arbitration if a resolution cannot be reached. 20. UNFORSEEN EVENTS-Neither party is responsible for delays caused by events beyond their control, such as extreme weather, pandemics, or global supply chain disruptions. 21.NOTICES-Official communications should be sent via email and will be considered received 24 hours after they are sent. 22. GENERAL TERMS- This Agreement is governed by the laws of Western Australia. Any changes to these terms must be made in writing and signed by both parties.23. DEFINITIONS-All references to WA Construction wa in these terms refer to the current legal entity, replacing any previous names.
